AI Terms and Conditions

1. Acceptance of Terms

These GraceBlocks AI Terms and Conditions (“AI Terms”) govern your access to and use ofGraceBlocks AI (as defined below) and are hereby incorporated into and form apart of the agreement between you or your organization (collectively, “you” or“your”) and GraceRock, LLC, d/b/a GraceBlocks (“we,” “us,” or “our”). Thatagreement may consist of either: (a) our standard Terms of Service (the “Terms”), or (b) a separately executed enterprise agreement, such as a master subscription agreement (your “Enterprise SaaS Agreement”), including any applicable terms and conditions therein (collectively, the“Service Terms”).

Capitalized terms used but not defined in these AI Terms shall have the meanings given in your applicable Service Terms. For purposes of these AI Terms, “User Content” also refers to “Customer Content” (or similar term) as defined in your Service Terms, and the “Services” include the “GraceBlocks Products” (or similar term) as defined therein.

In the event of any conflict between these AI Terms and your Service Terms, these AI Terms shall control solely with respect to your use of GraceBlocks AI.

Important: If you do not agree with any portion of the current or updated AI Terms, you must disable GraceBlocks AI and discontinue its use.

2. GraceBlocks AI

As used in these AI Terms, “GraceBlocks AI” refers to the features and functionality of the Services that are made available to you and that incorporate or utilize generative artificial intelligence technologies.GraceBlocks AI is powered by one or more third-party AI platforms and model providers listed here, as may be updated by us from time to time (each, a “Third-Party AI Provider”). Subject to your compliance with these AI Terms and the applicable Service Terms, we grant you a non-exclusive, non-transferable, revocable, limited right to access and use GraceBlocks AI solely in accordance with those terms.

3. Inputs and Outputs

You may provide or make available prompts, data, text, or other input for processing by GraceBlocks AI (“Input”) and receive data generated by GraceBlocks AI in response (“Output”). For purposes of these AITerms, both Input and Output are considered part of your User Content, as defined in your applicable Service Terms.

4. Use Restrictions and Third-Party AI Provider Requirements

When using GraceBlocks AI, you are solely responsible for the development, content, operation, maintenance, and use of your User Content. You represent and warrant that your Input, your use of GraceBlocks AI, and any resulting Output will not: (a) violate any applicable laws or regulations; or (b) conflict with the Service Terms, including these AI Terms, as may be updated from time to time. You also agree to review and comply with the applicable terms and policies of any Third-Party AI Provider made available here, which are hereby incorporated into these AI Terms by reference and may be updated from time to time.

5. Limitations

You acknowledge and agree that, due to the nature of machine learning and the underlying technology used in GraceBlocks AI, Output may not be unique, and the same or similar Output may be generated for you and for other users or third parties. You should not rely on any factual assertions in the Output without independently verifying their accuracy. Output that appears detailed or specific may nonetheless contain material inaccuracies. GraceBlocksAI does not retrieve information dynamically, and Output may not reflect events or changes in facts that occurred after the underlying model was trained. You are responsible for evaluating the accuracy, appropriateness, and suitability of any Output for your intended use, including through human review where appropriate.

6. User Content and Model Training

Our use of GraceBlocks AI does not grant GraceBlocks any rights to use or disclose your User Content in a manner inconsistent with your applicable Service Terms, except as otherwise expressly authorized by you. For the avoidance of doubt, GraceBlocks does not use, and does not permit any third party to use, your Input or Output to train the generative artificial intelligence models used to provide GraceBlocks AI.

GraceBlocks may retain metadata generated through your use of GraceBlocks AI for internal business purposes, including billing, system performance monitoring, and compliance. Additionally, to the extent you or your users map Input or Output into fields or records within the GraceBlocks platform, such data will be stored and retained in accordance with your applicable Service Terms and GraceBlocks' data handling policies.

7. Third-Party Providers

Third-Party AI Providers do not store or retain your Input or Output, nor do they log such data for human review.* However, they may retain metadata related to your use of GraceBlocks AI strictly for billing, safety, and compliance purposes.*

7. Data Processing and Privacy

To the extent your User Content includes Personal Data (or a similar term as defined in any applicable data processing addendum between you and GraceBlocks), you instruct GraceBlocks and its subprocessors to process such data for the purpose of providing GraceBlocks AI and generating Output. You also consent to our use of applicable Third-Party AI Providers as subprocessors in connection with GraceBlocks AI, as identified here.

For clarity, the GraceBlocks Privacy Policy governs how GraceBlocks handles Personal Data collected through the Platform, and ZoneOwners remain responsible for establishing and enforcing any agreements or policies governing the confidentiality, privacy, and security of User Content within their respective Zones.

8. Suspension and Availability

Notwithstanding anything to the contrary in your Service Terms, GraceBlocks may suspend your access to any portion or all of GraceBlocksAI if:
(a) GraceBlocks reasonably believes or determines that your use of GraceBlocksAI is in violation of these AI Terms or poses a risk to GraceBlocks, the Services, or a third party;
(b) a Third-Party AI Provider requires such suspension;
(c) a Third-Party AI Provider has suspended or terminated GraceBlocks’ access to or use of services or products required to enable your access to GraceBlocksAI; or
(d) GraceBlocks’ provision of GraceBlocks AI to you is prohibited by legislation, regulation, or other act of government.

Where practical, GraceBlocks will use commercially reasonable efforts to notify you of any such suspension. Access to GraceBlocksAI will be reinstated as soon as the underlying issue is resolved, at GraceBlocks’ discretion. GraceBlocks will not be liable for any damages, losses, or liabilities arising from any suspension made in accordance with this section.

Notwithstanding anything to the contrary in your Service Terms, GraceBlocks does not make any warranty regarding the availability or uptime of GraceBlocks AI, and downtime of GraceBlocks AI will not constitute downtime under any applicable service level agreement, such as GraceBlocks’ Service Level Agreement.

9. AI Beta Features and Pre-Release Use

GraceBlocks may provide you with access to a version or feature of GraceBlocks AI that is not generally available, including those offered as an alpha, beta, limited release, developer preview, or under a similar designation (“Beta”). Such features or versions (collectively, “AI Beta Features”) are made available for evaluation and testing purposes only.

AI Beta Features may contain bugs, errors, or omissions and are provided on an “AS IS” basis without warranties of any kind, and without any liability, indemnity, service level, or performance obligations. AI Beta Features are not subject to support commitments and may be changed or discontinued at any time, for any reason or no reason, at our sole discretion and without notice or liability to you.

AI Beta Features may never be released into general availability, and discontinuation or loss of access may render some or all of your User Content inaccessible.

10. Modifications to These AI Terms

We may update these AI Terms from time to time to reflect changes in our services, legal requirements, or business practices. It is your responsibility to review these terms periodically to stay informed about any updates. The date of the current AI Terms is explicitly stated at the top of this page.

If the changes are material, we will provide you with reasonable notice prior to the effective date—either by emailing the address associated with your account or by providing notice through the Services. For clarity, such notice may be provided to any person designated as an administrator on your account.

Your continued use of GraceBlocks AI after the effective date of any changes constitutes your acceptance of the updated AI Terms. If you do not agree with any portion of the current or updated AI Terms, you must disable GraceBlocks AI and discontinue its use before the changes take effect.

If GraceBlocks fails to provide you with required notice of material changes in accordance with this section, then your use of GraceBlocksAI will continue to be governed by the version of these AI Terms in effect immediately prior to the attempted changes—unless and until you expressly consent to the new version.

For clarity, renewing your subscription to the Services subject to the updated AI Terms or updated Service Terms that incorporate the updated AI Terms (including by automatic renewal), or otherwise agreeing to the updated AI Terms in accordance with this section, constitutes your consent to the new version.
